    1. A Proposal outlines the Services, works and the associated Fees, and these will be applicable under these Standard Terms of Business as described in this document, which shall apply in their entirety, except where there is any specific Variation to these Standard Terms of Business agreed by the Parties.
    2. The Proposal shall be valid for a period of 30 days from the date the Client receives the Proposal unless an extension is requested by the Client and agreed to by crdone in writing.
    3. A Scope of Works may be required when more complex and detailed Services are being provided e.g. Website design and build. In these cases, the initial Agreement will be based on an estimate set out by crdone in the Proposal and then defined at a later date within a Scope of Works. Once the detail of the work to be completed by crdone and the associated Fees have been agreed with the Client, the Scope of Works shall supersede the Proposal and form part of the Agreement.
    4. There shall be no Variation unless agreed by crdone and notified in writing to the Client. These Variations may include:
      1. Service Updates – agreed changes to services provided by crdone to the Client; or
      2. Project Agreements – agreed additional services or works to be added to the overall Agreement with the Client
  4. FEES AND TERMS OF PAYMENT
    1. The fees described in the Proposal or Scope of Works are based on the information provided by the Client, the experience, knowledge and skills of crdone, and the full cooperation of the Client with any request submitted to them in accordance with the obligations described in clause 8.0.
    2. Any Variation to a Proposal requested by the Client, must be agreed in writing by crdone and may result in changes to any Milestone dates and/or Fees.

    4. The Client shall pay all Advanced Fees and the first month’s Fees in full and in cleared funds prior to the commencement of any Services. No Services shall begin until such payment is received. This requirement applies to all SEO, Paid Advertising and Website Development Services in order to ensure operational continuity and compliance with industry-standard practices.
    5. Retainer Services shall renew automatically on a rolling monthly basis. A minimum commitment period of three (3) months shall apply. After this period, either Party may terminate (see 13.) by providing three (3) months’ written notice. Notice may not be served during the minimum commitment period.
    6. Where payment of Fees are staged (as detailed on the Customer Order Form and or the Proposal), then payments shall be made as specifically described.
    7. crdone shall not be liable to the Client for any costs, loss of earnings or compensation, arising from work carried out by any Party on behalf of the Client or any of the Client’s appointed agents, including where such work has a detrimental impact on the performance of, or causes an increase in the Fees due to crdone in respect of this Agreement.
    8. All invoices are payable within fourteen (14) calendar days of issue. Where any invoice remains unpaid for more than seven (7) calendar days after the due date, the Agency may suspend all Services without liability until payment is received in full.
    9. Any Variations required by the Client which are outside the Proposal or Scope of Works will not extend the payment deadline for the remaining balance of Fees due.
    10. Any queries or disputes regarding an invoice or detail within an invoice must be raised directly with crdone by the Client via email within 10 Working Days of the date of the invoice. Failure to provide notice to crdone will be taken as the invoice having been accepted in full.
    11. Where the Fee for any item on an invoice is in dispute, it shall not prevent the remainder of the Fees owed to crdone being paid in accordance with the invoice terms by the Client.
    12. Any chargeback, payment reversal, or disputed transaction initiated by the Client shall constitute a material breach of this Agreement. The Agency may immediately suspend all Services and recover all associated losses, including bank fees, administrative costs and legal expenses.
    13. All advertising spend (including Google Ads, Meta Ads, TikTok, LinkedIn or any other paid media) must be funded directly by the Client. The Agency shall not advance, pre-pay or be liable for any advertising costs or platform billing failures.
  5. ADDITIONAL FEES
    1. crdone shall not be responsible for any additional charges relating to international payments, bank transfers or payment in a currency other than GBP, and any such charges must be paid by the Client in full in addition to the amount invoiced to which they relate.
    2. Any alterations, changes or Variations to the agreed works must be requested and confirmed in writing. No Variation shall take effect unless and until the Agency has issued a written variation notice and the Client has accepted the associated Fees in writing. The Agency shall not be required to commence or continue work on any Variation until such written acceptance is received.
    3. The Agency may include a discreet design credit and hyperlink in the footer of any website it develops for the Client. If the Client requires removal of the design credit, the Agency shall remove it upon written request for a fixed fee of £500, reflecting the loss of ongoing promotional value.
  6. FEES – NON-PAYMENT OR OVERDUE PAYMENT
    1. Where any sum due to the Agency remains unpaid after the due date, interest shall accrue on the overdue amount on a daily basis at a rate of the Bank of England base rate plus eight percent (8%), in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. The Agency shall also be entitled to recover all reasonable costs incurred in seeking to recover the overdue sum, including debt-recovery fees, administrative costs and legal expenses.
    2. Where invoiced Fees remain unpaid beyond their payment due date, then should crdone consider it necessary to write (by email or letter) to the Client by way of reminder, then it shall be entitled to charge the Client an administration fee of £25.00 (twenty five Pounds) per letter and/or email sent.
    3. Any sum remaining unpaid fourteen (14) calendar days after its due date shall place the Client in Default. Upon Default, the Agency may suspend all Services immediately and shall be entitled to exercise all rights available to it under this Agreement or applicable law.
    4. Where the Client’s account is in Default, and crdone finds it necessary to institute reasonable action to recover those Fees owing, the Client will become liable to pay crdone such reasonable expenses, including legal fees and costs, incurred by crdone in instructing a third party for collection of that debt, or in pursuing legal action.
  7. SUSPENSION OF ACCOUNT
    1. Where any invoice remains unpaid for more than seven (7) calendar days after its due date, the Agency may immediately suspend the Client’s account and place all Services On Hold without liability. Suspension may occur irrespective of whether the Client has reached the Default threshold under clause 6.3 and shall continue until all outstanding sums are paid in full.
    2. If the Client maintains any content or information on advertising platforms, social media accounts, and/or web sites provided through crdone, or is using a website(s) framework set up by crdone, crdone reserves the right to remove all such Client material from the relevant advertising platforms, accounts and/or servers and/or remove access to the advertising platforms and/or website(s) framework, which will result in such Services and/or products being taken offline. In these circumstances, crdone bears no consequential liability for any financial losses, business disruption or loss of data incurred by the Client in consequence of these actions. Any such action taken by crdone does not relieve the client of their obligation to pay any outstanding Fees in relation to the Agreement.
    3. Where crdone has suspended the Client’s account and/or placed work On Hold, due to the
    4. Client being in Default, then crdone shall not be held responsible for any consequential or subsequent charges, losses or penalties faced by the Client arising from such action taken by crdone, including the suspension of payments on the Clients behalf to third parties by crdone.

Changes, alterations or Variations requested post-sign off are subject to clauses 4.2, 4.9 and 5.2.
    3. All written marketing materials (copy) are to be supplied by the Client to crdone in digital format, with all images and photographs supplied in JPG, PNG, GIF or TIFF format, or otherwise supplied physically in high quality print suitable for digital scanning.
    4. Unless otherwise agreed in advance, all marketing images and copy are to be provided by the Client.
    5. Any dispute between the Client and an Advertising Platform and/or website owner is the full responsibility of the Client, and crdone will not hold any responsibility for any wrongdoing or failure on behalf of the Client.
    6. Where any addition, amendment or deletion is made to an Advertising Platform, social media account and/or website by the Client or a third-party acting on behalf of the Client, following completion of the Agreement, then crdone will bear no liability for any consequences arising from these actions.
    7. Where any addition or amendment is made to an Advertising Platform, social media account and/or website by crdone on behalf of the Client that triggers a temporary lock on the Client’s account (due to a policy of the Advertising Platform, social media account and/or website) crdone shall bear no liability for any consequences arising from these actions.
    8. Where website development takes place on servers not recommended by crdone, the Client is wholly responsible for the supply of any information, support, additional software or co-operation relating to the server and any requirement that will enable the Agreement to be completed. It is the Client’s sole responsibility to provide a suitable staging environment that is identical to the final production environment.
crdone may purchase domain names, hosting, or other subscription-based services on behalf of the Client. Payment and future renewal of these services is the responsibility of the Client, and any loss, or cancellation of any domain name due to late payment shall not be any responsibility of crdone. The Client is required to keep records of any due dates for such subscriptions and renewals; and ensure that any payment is made in line with 4.0.
    9. The Client shall promptly provide all information, materials, approvals, access credentials and instructions required for the Agency to perform the Services. The Client warrants that all such information and materials shall be complete, accurate, lawful, and compliant with all applicable advertising, consumer and platform regulations. Any delay, omission or inaccuracy in the information provided by the Client shall extend all applicable timelines and relieve the Agency of any associated obligations or liability. The Agency shall not be responsible for any delay in performance or reduction in campaign effectiveness arising from the Client’s failure to comply with this clause
    10. The Client shall at once make known to crdone, any matter of which it is, or becomes aware, which will impact upon the ability of crdone to meet its statutory obligations whether under any agreement between the Parties in relation to the execution of works, or otherwise.
    11. The Client shall respond to matters raised by crdone in relation to the performance of the
    12. Agreement in a reasonable and timely manner, so as not to unduly inhibit crdone from meeting its obligations under such Agreement.
    13. Any request made by the Client during a phone call, virtual meeting or live messenger chat, must be documented and confirmed in writing to crdone to become part of the Agreement.
  9. OBLIGATIONS OF crdone

crdone will apply reasonable endeavours to meet all Milestone dates set out in the Agreement, though such dates may be necessarily changed to reflect such matters as timings of the Client’s supply of assets, information and/or approvals, receipt of client information and approvals, any dependencies upon third parties for supply of goods and/or services, and those matters reasonably beyond the control of crdone.
    2. Any material changes to a Proposal or Scope of Works requested by the Client and agreed by crdone may result in delays to the Milestones and/or changes to the Fees, the details of which crdone will notify to the Client in writing.
    3. crdone will endeavour to ensure any website code, script or program is free from errors, but cannot accept responsibility for any losses incurred due to the malfunction of the website or any of its parts or components. 4. The Agency shall deliver all advertising work and websites to function correctly on the most widely used browsers and devices at the time of delivery.
